1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Star Group, operating as SG eSchool, located at Sultan Muzaffar Road, Erbil, Iraq ("we," "our," or "us").

By accessing or using the SG eSchool website, platform, mobile applications, third-party integrations, and related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Description of Service

SG eSchool is an enterprise school management system that provides tools for student management, attendance tracking, grading, timetable scheduling, finance management, communication, and integrations with third-party services such as Zoom for virtual classroom functionality.

3. Eligibility

The Service is intended for use by educational institutions, their administrators, teachers, staff, students, and parents/guardians. You must be at least 18 years of age to create an administrator account. Student accounts are managed by the educational institution with appropriate parental consent where required.

4. User Accounts & Responsibilities

When using the Service, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with unauthorized persons

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service, other user accounts, or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload, transmit, or distribute any malicious code, viruses, or harmful content
• Scrape, harvest, or collect data from the Service without authorization
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Use the Service to send unsolicited communications or spam

6. Intellectual Property

The Service, including all content, features, functionality, software, designs, trademarks, and documentation, is owned by Star Group and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Data entered by users into the Service remains the property of the respective educational institution. We claim no ownership over your data.

7. Third-Party Integrations

The Service may integrate with third-party platforms, including but not limited to Zoom Video Communications. By enabling such integrations, you acknowledge and agree that:

• Third-party services are governed by their own terms of service and privacy policies
• We are not responsible for the availability, accuracy, or practices of third-party services
• You must comply with the third-party's terms when using integrated features
• You may disconnect integrations at any time through your account settings

8. Payment Terms

Access to the Service requires a paid subscription as agreed upon in your service agreement with SG eSchool. Payment terms, including fees, billing cycles, and refund policies, are detailed in the separate service agreement between SG eSchool and your institution.

9. Service Availability

We strive to maintain 99.9% uptime. However, the Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime in advance.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SG eSchool and Star Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or any activity that threatens the security or integrity of the Service. Upon termination, your right to use the Service ceases immediately.

Your institution may request a complete export of its data prior to account termination. Data will be retained for 90 days after termination, after which it will be permanently deleted.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kurdistan Region of Iraq, without regard to conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Erbil, Iraq.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date and, when appropriate, providing notice through the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms.
